SecureDApp shall not assume any liability or responsibility for any form of compensation if users suffer personal losses due to their ignorance or negligence in keeping up with the announcements.
Indemnification:
You agree to indemnify, defend, and hold SecureDApp and its affiliates, officers, directors, employees, and agents harmless from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in connection with your use of the platform, your participation in any project, or any violation of these Terms. You acknowledge and agree that you are solely responsible for your actions on the platform and the consequences thereof. Users of SecureDApp are obligated to adhere to local laws and regulations governing the lawful utilisation of the platform within their respective jurisdictions. This entails full compliance with all applicable tax laws, including the proper withholding, collection, reporting, and remittance of taxes to the relevant authorities.
It is imperative that all users of SecureDApp acknowledge and affirm that their funds originate solely from legitimate sources and are not associated with any illicit activities. Consequently, SecureDApp reserves the right to request from users the necessary information and materials, as dictated by pertinent laws or government directives, to validate the legality of the funds' sources and usage.
Maintaining a cooperative stance with law enforcement agencies worldwide, SecureDApp will not hesitate to seize, freeze, or terminate accounts and associated funds that have been flagged or are subject to investigation as mandated by legal authorities. We prioritise upholding the law and facilitating the necessary measures to ensure compliance with regulatory requirements.
Notice of Claim and Dispute Resolution Period through Arbitration
In the event of a claim or dispute arising from your use of the platform or these Terms, both parties agree to engage in a notice and resolution process before resorting to arbitration.
If you have a claim against us, you must provide a written notice of claim, including a detailed description of the claim and the relief sought. The notice should be sent to the designated contact information provided by us within a specified period of time. Failure to provide timely notice may result in the waiver of your claim.
Once the notice of claim is received, we will make reasonable efforts to resolve the dispute through good faith negotiations within a designated resolution period. This period allows both parties to exchange relevant information, discuss the issues, and attempt to reach a mutually satisfactory resolution.
If the dispute remains unresolved after the resolution period, either party may initiate arbitration. The arbitration will be conducted in accordance with the rules and procedures of the chosen arbitration organisation, as agreed upon by both parties.
Arbitration provides a neutral and independent forum for resolving disputes, and the decision of the arbitrator(s) will be final and binding. By agreeing to arbitration, you are waiving your right to pursue claims through a court of law, except for limited circumstances where applicable law may require otherwise.
If any issue which goes to the process of arbitration and an arbitrator is appointed then any form of fees charged by the arbitrator will be paid by both the parties equally.

SUSPENSION OF ACCOUNT.
SecureDApp shall not be held liable to you for any permanent or temporary modifications made to your SecureDApp Account, or for the suspension or termination of your access to all or any part of SecureDApp Services. We reserve the right to make changes to your account or to suspend/terminate your access in accordance with these Terms and applicable laws. Such modifications, suspensions, or terminations may be necessary for various reasons, including but not limited to:
1. Governmental Proceeding, Criminal Investigation, or Other Pending Litigation: In the event your SecureDApp Account becomes subject to a governmental proceeding, criminal investigation, or other pending litigation, we may take necessary actions to comply with legal requirements and protect the integrity of SecureDApp Services.
2. Security: In the event of a security breach or unauthorised access to your account, we may take immediate action to protect your data and the integrity of SecureDApp Services.
3. Legal Compliance: If we receive a court order, regulatory request, or any other legal mandate requiring the modification, suspension, or termination of your account, we will comply with the applicable laws and regulations.
Please note that while we strive to minimise any inconvenience caused by such modifications, suspensions, or terminations, we shall not be held liable for any losses or damages arising from these actions. It is your responsibility to regularly back up your data and information stored on SecureDApp to mitigate the risk of any potential loss during such events.
Termination of account:
In the event of certain circumstances, SecureDApp retains the right to end these Terms by terminating your SecureDApp Account and permanently revoking the authorizations associated with it. These circumstances encompass:
1. Termination of Services: If SecureDApp decides to terminate its services to you, it may exercise its prerogative to cancel your SecureDApp Account and withdraw the corresponding authorizations.
2. Registration in Another Person's Name: If you are discovered to have registered or attempted to register under someone else's identity, either directly or indirectly, SecureDApp may terminate these Terms and freeze your account.
3. False, Inaccurate, Outdated, or Incomplete Information: If the information provided by you during registration or at any other time is found to be false, inaccurate, outdated, or incomplete, SecureDApp has the right to terminate these Terms and nullify your account.
4. Rejection of Amended Terms: If SecureDApp introduces amendments to these Terms and you express your unwillingness to accept the modified terms by applying for account cancellation or by other means, SecureDApp may proceed with terminating your account.
5. Request for Termination: If you specifically request the termination of SecureDApp Services, SecureDApp may comply with your request and terminate your account accordingly.
6. Other Circumstances: SecureDApp reserves the right to terminate its services in any other circumstances deemed necessary.
It is important to note that SecureDApp assumes no responsibility for any losses or damages arising from the termination of services or the freezing of your account in these cases.
If your SecureDApp Account is terminated, any account and transactional information that meets the required data retention standards will be securely stored for a period of 5 years. Furthermore, if there are any ongoing transactions that have not been completed at the time of account termination, SecureDApp reserves the right to inform the relevant counterparty about the situation.
It is important to note that if you choose to initiate an account exit request, such as exercising your right to erasure under GDPR or similar regulations, the termination protocol described above will also be applied to your account.
Please be aware that this policy ensures compliance with data protection and regulatory requirements, while also safeguarding the necessary information for a specified period after account termination.
XV. Miscellaneous
Independent Relationship: SecureDApp operates as an independent contractor, not as your agent, in the performance of these Terms. These Terms do not establish an association, joint venture, partnership, or franchise between the parties and should not be interpreted as such.
Interpretation and Revision: SecureDApp reserves the right to modify, revise, or amend these Terms at any time. Any changes will become effective immediately upon their publication on SecureDApp's websites. It is your responsibility to regularly review the relevant pages on our websites/applications to ensure your awareness of the most up-to-date version of these Terms. If you do not agree to any modifications, your only recourse is to cease using SecureDApp Services and terminate your account. Unless expressly stated in these Terms, SecureDApp shall not be liable for any modification, termination, suspension, or discontinuation of SecureDApp Services by you or any third party.
Language & Translations: SecureDApp may, at its sole discretion, provide translations of these Terms in languages other than English. You acknowledge that any such translations are provided for convenience purposes only, and in the event of any ambiguity, discrepancy, or omission, the English text shall prevail.
Assignment: You may not assign or transfer any rights or obligations under these Terms, including the right to use SecureDApp Services, without the prior written consent of SecureDApp. SecureDApp reserves the right to assign, transfer, or delegate any or all of its rights or obligations under these Terms without notice, consent, or approval from you.
Waiver: The failure of either party to enforce any provision of these Terms shall not be construed as a waiver of that party's right to enforce such provision at any time thereafter. Furthermore, the waiver of any breach or violation of these Terms or any provision therein shall not constitute a waiver of any subsequent breach or violation or of the provision itself.
